1. Acceptance of Terms

By downloading, installing, or using DataBook Studio ("the Software"), you agree to be bound by these Terms of Service ("Terms"). The Software is developed and operated by Subodh Sharma ("we", "our", or "us"). If you do not agree to these Terms, do not download, install, or use the Software.

These Terms apply to all users, including users of the free trial and licensed users.

2. Eligibility

You must be at least 16 years old (or the age of legal majority in your jurisdiction) to use the Software. By using the Software, you represent that you have the legal capacity to agree to these Terms and that any information you provide is accurate and complete.

3. License Grant and Trial

Trial Period: DataBook Studio offers a 7-day, device-bound trial. No account or credit card is required to begin the trial. The trial is single-use: it is tied to your device via a device identifier, and we keep a durable server-side trial record so that a device cannot start a new trial once its trial has been used. Once you convert to a paid license, the trial is not available again on that device.

Pro License: Upon purchasing a license key, you are granted a non-exclusive, non-transferable, revocable right to use the Software's premium features (such as executing queries and using SAYA AI) for the duration of your license. Licenses are issued per seat: each seat is activated on a specific device, and you may deactivate a seat to free it for activation on another device, subject to any limits described at the time of purchase.

Restrictions: You may not reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, or circumvent, disable, or otherwise tamper with the licensing mechanisms of the Software, including the trial and seat-activation systems. You may not rent, lease, lend, sell, sublicense, or distribute the Software or your license key.

4. License Key Security

You are responsible for keeping your license key confidential and for all activity that occurs using your key. You may not share your license key publicly (including in code repositories, forums, or screenshots). If you believe your license key has been compromised, contact us promptly. We may suspend or revoke keys that are shared, abused, or used in violation of these Terms.

5. Intellectual Property

The Software, including its design, branding, and underlying code, is owned by us and protected by applicable intellectual property laws. These Terms grant you a limited right to use the Software only as expressly stated herein. No title or ownership rights are transferred to you. All rights not expressly granted are reserved.

6. User Responsibilities and Acceptable Use

You are solely responsible for your use of the Software and for any queries, commands, or changes you execute against your databases. You agree that you will not use the Software to:

Violate any applicable law, regulation, or third-party agreement (including your employer's policies and your database providers' terms);
Access, modify, or destroy data you are not authorized to access;
Introduce malware, malicious code, or harmful payloads through the Software;
Interfere with or disrupt the Software's servers, networks, or licensing systems;
Use the Software in a manner that could damage, disable, or impair its functionality.

7. Third-Party Services (SAYA AI)

The Software includes features that interact with third-party Large Language Models (LLMs) via SAYA AI, including OpenAI, Anthropic (Claude), and Google (Gemini), as well as local models via Ollama or a local OpenAI-compatible endpoint. You are responsible for providing your own API keys, for the costs of using those cloud providers, and for adhering to the terms of service and acceptable-use policies of those third-party providers. We are not responsible for the availability, accuracy, or content generated by these third-party services, and your interactions with them are solely between you and the provider.

AI-Generated Content May Be Inaccurate: SQL, explanations, and any other content generated by SAYA AI may be incorrect, incomplete, or unsafe to run as-is. You must review any AI-generated SQL before executing it, and you must not run AI-generated queries against a production database without a current backup and a proper understanding of what the query does. You are solely responsible for the consequences of running any query, whether authored by you or generated by SAYA AI.

8. Downloads and Updates

The Software is distributed as downloadable installers hosted on GitHub Releases. By downloading, installing, or updating the Software, you reaffirm your acceptance of these Terms. The Software includes a built-in updater that periodically checks for and fetches signed updates; you are responsible for keeping the Software up to date, and some features may require a current version to function correctly.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT IT WILL NOT CAUSE DATA LOSS. You are solely responsible for ensuring you have proper backups before executing SQL queries or modifying databases using the Software, including queries generated by SAYA AI.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUBODH SHARMA OR DATABOOK STUDIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY CLAIM, DAMAGES, OR OTHER LIABILITY (INCLUDING DATA LOSS, BUSINESS INTERRUPTION, OR FINANCIAL LOSS) ARISING FROM OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR INABILITY TO USE THE SOFTWARE, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Because the Software connects to databases that you control, you bear the risk of any changes you make to those databases.

11. Indemnification

You agree to indemnify and hold harmless Subodh Sharma and DataBook Studio from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising from your misuse of the Software, your violation of these Terms, or your violation of any third-party rights or applicable law.

12. Refunds

Refunds are processed in accordance with the policies of our Merchant of Record (Creem). If you experience technical issues, please contact support before requesting a refund so we can attempt to resolve them. Refund eligibility may depend on the terms communicated at the time of purchase and applicable consumer-protection laws.

13. Termination

We may suspend or terminate your access to the Software, or revoke your license key, if you breach these Terms or if we believe your use poses a legal or security risk. You may stop using the Software at any time. Upon termination, your right to use the Software ends, though your locally stored data remains on your device unless you delete it. Sections that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) will remain in effect.

14. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, provide more prominent notice. Continued use of the Software after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you should stop using the Software.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions. You submit to the exclusive jurisdiction of the courts of Australia for the resolution of any disputes arising from these Terms, except where consumer-protection laws require otherwise.

16. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with any policies referenced herein (including our Privacy Policy), constitute the entire agreement between you and us regarding the Software.
